Terms of Service

By using ProcClinic, you agree to the following:

Our role: ProcClinic acts as an introducer between buyers and suppliers. We are not a party to any contract, transaction, or agreement between a buyer and a supplier unless separately and explicitly agreed in a managed sourcing engagement.

No guarantee: ProcClinic does not guarantee supplier quality, performance, pricing, availability, or delivery. Buyers are responsible for their own due diligence before contracting with any supplier.

Direct contracting: any commercial agreement resulting from a ProcClinic introduction is between the buyer and the supplier directly, unless ProcClinic is separately engaged for managed sourcing or procurement services.

Paid Sourcing Services: Where a buyer engages ProcClinic for quotation management, supplier comparison, negotiation support, or ongoing procurement assignments (as described on our Sourcing Services page), the scope, fees, and payment terms for that specific engagement will be agreed separately in writing before work begins. These paid services remain subject to this document's general terms unless expressly varied in that written agreement.

Supplier obligations: suppliers registering with ProcClinic must provide accurate business information and comply with applicable UAE laws.

Confidentiality: we treat submitted requirement details as confidential and share them only with relevant suppliers as needed to fulfill the request.

Prohibited use: you may not submit false, fraudulent, or misleading information, or use ProcClinic for any unlawful purpose.

Limitation of liability: ProcClinic's liability is limited to the maximum extent permitted by UAE law. We are not liable for any indirect, incidental, or consequential damages arising from use of this service.

Termination: we reserve the right to suspend or terminate access for any user who violates these terms.

Governing law: these terms are governed by the laws of the United Arab Emirates.
